Building resilience into commercial contracts

Building resilience into commercial contracts

A closer look at the clauses, responsibilities and practical choices that shape durable business relationships.

A commercial relationship begins with shared ambition. Its written terms should make that ambition clear: what each party will do, how progress will be measured, and how the relationship can adapt when circumstances change.

01 Start with clarity

Before turning to detailed clauses, establish a shared understanding of the work. A precise description of scope, deliverables and responsibilities gives the parties a practical reference point throughout the relationship.

The same care belongs in everyday processes. Identify who can approve a change, how decisions are recorded and which milestones require a conversation. Clear language makes those processes easier to use.

“A useful contract should remain understandable long after the negotiation ends.”

02 Plan for change

Business priorities rarely stand still. A new dependency, a revised timetable or an unexpected interruption can change what the parties need from an agreement. Discussing these possibilities early helps reveal assumptions that might otherwise remain unspoken. Consider the moments that should trigger a review. The aim is a deliberate process for discussing change, with clear ownership and a record of the decisions made.

03 Keep the contract useful

An agreement becomes useful through the people who work with it. Keep the final version accessible, identify the owners of important obligations and revisit the document when the relationship evolves. Resilience is built through considered drafting and consistent attention. The starting point is a document that reflects the business, the relationship and the decisions that matter to both parties.
